Terms of Service

1. Introduction and Acceptance of Terms
These Terms of Service (the “Terms”) govern your access to and use of the services provided by Northwave Sound Studio (“Northwave Sound Studio,” “we,” “us,” or “our”), an audio-studio business located at 214 Queen Street West, Toronto, ON M5V 2A4, Canada.
By booking, purchasing, accessing, or otherwise using any service offered by Northwave Sound Studio, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.
These Terms apply to all clients, artists, producers, voice talent, podcasters, businesses, and any other users of our services.
2. Scope of Services
Northwave Sound Studio provides professional audio services, which may include, without limitation:
- Music recording
- Audio editing
- Mixing and mastering
- Voiceover recording
- Podcast production
- Sound design
- Jingle and commercial audio production
Service details, deliverables, timelines, and pricing may vary depending on the project, scope, and any written agreement, invoice, estimate, or booking confirmation issued by Northwave Sound Studio.
We reserve the right to decline, suspend, or terminate any project that is unlawful, offensive, technically infeasible, or otherwise inconsistent with our professional standards or policies.
3. User Obligations and Responsibilities
By using our services, you agree that you will:
- Provide accurate, current, and complete information when booking or communicating with us;
- Ensure that you have all necessary rights, permissions, licenses, and consents for any audio, music, scripts, voice recordings, samples, images, trademarks, or other materials you provide;
- Not submit content that infringes copyright, trademark, privacy, publicity, moral rights, or any other third-party rights;
- Comply with all applicable federal, provincial, and municipal laws in Canada, including laws relating to intellectual property, defamation, privacy, and electronic communications;
- Cooperate reasonably with session scheduling, revisions, approvals, and delivery requirements;
- Maintain the confidentiality of any studio access credentials, private links, or non-public materials we provide;
- Not use our facilities or services for unlawful, harmful, harassing, discriminatory, or fraudulent purposes.
You are solely responsible for the legality, accuracy, and suitability of any content you provide to Northwave Sound Studio.
4. Payment Terms and Conditions
All fees, deposits, hourly rates, package prices, and additional charges will be communicated in advance through a quote, invoice, booking confirmation, or written agreement. Unless otherwise stated, all amounts are in Canadian dollars (CAD).
- Deposits: We may require a non-refundable deposit to secure a booking or begin work.
- Payment Due: Payment is due according to the terms stated on the invoice or booking confirmation. If no due date is stated, payment is due upon receipt.
- Late Payments: Overdue amounts may be subject to late fees, interest, or suspension of services to the extent permitted by applicable law.
- Additional Charges: Extra revisions, overtime, rush delivery, file restoration, third-party licensing, or other out-of-scope work may incur additional fees.
- Taxes: Applicable taxes, including GST/HST and any other required taxes, will be added where required by law.
Northwave Sound Studio may withhold final deliverables, project files, or session materials until all outstanding balances are paid in full, unless prohibited by law or otherwise agreed in writing.
5. Cancellation and Refund Policy
Because studio time and production resources are reserved in advance, cancellations may result in fees.
- Client Cancellations: If you cancel a booking, any deposit may be forfeited. Additional cancellation fees may apply depending on the timing of the cancellation and the amount of work already completed.
- Rescheduling: Rescheduling is subject to availability and may require advance notice. Repeated rescheduling may be treated as a cancellation.
- No-Shows: Failure to appear for a scheduled session may result in the full session fee being charged.
- Refunds: Except where required by applicable law or expressly stated in writing, all fees paid are non-refundable once work has commenced or studio time has been reserved.
If Northwave Sound Studio cancels a session for reasons within our control, we will make reasonable efforts to reschedule or provide a refund for the affected portion of prepaid fees, as appropriate.
6. Liability Limitations
To the fullest extent permitted by applicable Canadian law, Northwave Sound Studio, its owners, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of business, loss of data, or reputational harm, arising out of or related to the use of our services.
Without limiting the foregoing, we are not responsible for:
- Loss or corruption of client files not caused by our gross negligence or wilful misconduct;
- Delays caused by client non-responsiveness, incomplete materials, technical issues outside our control, or third-party service failures;
- Unauthorized use of final audio files by third parties;
- Content accuracy, legal compliance, or clearance of materials supplied by the client;
- Any damages arising from the client’s misuse of our deliverables.
To the extent permitted by law, our total aggregate liability for any claim arising from or related to the services shall not exceed the amount actually paid by you to Northwave Sound Studio for the specific service giving rise to the claim.
7. Intellectual Property Rights
Unless otherwise agreed in writing, Northwave Sound Studio retains ownership of all pre-existing materials, tools, templates, workflows, techniques, software settings, session configurations, and proprietary methods used in providing the services.
Upon full payment of all applicable fees, and subject to any separate written agreement, the client may receive rights to use the final delivered audio files for the purpose(s) agreed in the project scope. However, unless expressly transferred in writing:
- We retain ownership of raw session files, project files, stems, multitracks, and working materials;
- We may retain copies of project materials for archival, backup, quality control, and legal recordkeeping purposes;
- Any third-party samples, loops, plugins, voice talent, music libraries, or licensed assets remain subject to their respective license terms;
- The client is responsible for obtaining any additional licenses needed for public performance, synchronization, broadcast, distribution, or commercial exploitation.
Unless otherwise agreed in writing, Northwave Sound Studio may display non-confidential excerpts of completed work in its portfolio, website, social media, or promotional materials, provided such use does not disclose confidential client information or violate any applicable agreement.
8. Data Protection and Privacy
Northwave Sound Studio collects, uses, stores, and discloses personal information only as necessary to provide our services, manage bookings, process payments, communicate with clients, maintain records, and comply with legal obligations.
We handle personal information in accordance with applicable Canadian privacy laws, including, where applicable, the Personal Information Protection and Electronic Documents Act (PIPEDA) and any applicable provincial privacy legislation.
By using our services, you consent to the collection and use of your personal information for legitimate business purposes, including:
- Booking and scheduling sessions;
- Processing payments and issuing invoices;
- Delivering project files and communications;
- Maintaining internal records and backups;
- Preventing fraud, abuse, and unauthorized access;
- Complying with legal, tax, and regulatory requirements.
We take reasonable administrative, technical, and physical safeguards to protect personal information. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.
9. Force Majeure
Northwave Sound Studio shall not be liable for any delay or failure to perform its obligations due to events beyond our reasonable control, including but not limited to acts of God, fire, flood, severe weather, power outages, internet or telecommunications failures, equipment breakdown, labour disputes, government actions, public health emergencies, war, terrorism, civil unrest, or supply chain disruptions.
In the event of a force majeure occurrence, we may suspend, reschedule, or modify services as reasonably necessary. We will make commercially reasonable efforts to minimize disruption and communicate with affected clients promptly.
10. Changes to Terms
Northwave Sound Studio may update or modify these Terms at any time by posting a revised version or otherwise notifying clients where appropriate. Changes will be effective on the date indicated in the revised Terms unless otherwise stated.
Your continued use of our services after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of our services.
11. Applicable Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to them, the services, or any related transaction shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You agree that the courts located in Toronto, Ontario shall have exclusive jurisdiction over any dispute arising from or related to these Terms or the services, subject to any mandatory rights you may have under applicable law.

13. Severability Clause
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
Any failure by Northwave Sound Studio to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision unless acknowledged in writing.
